Terms of Service

1. Acceptance of Terms

By accessing or using PlanForScale ("the Service"), operated by Meyer Utvikling Frilans Tjenester, a company registered in Norway ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including workspace owners, administrators, and members.

2. Eligibility

You must be at least 16 years old to use PlanForScale. By creating an account, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@planforscale.com of any unauthorized use.

4. Use of the Service

You agree to use PlanForScale only for lawful purposes. You may not:

  • Use the Service to store or transmit illegal, harmful, or abusive content.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to send spam or unsolicited communications.
  • Resell or redistribute access to the Service without our prior written permission.
  • Use the Service in any manner that could damage, disable, or impair the Service.

5. Workspace and Data Ownership

You retain full ownership of all data you create within PlanForScale. We do not claim any intellectual property rights over your content. You grant us a limited, non-exclusive license to host, store, process, and display your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or your account.

6. Plans and Billing

PlanForScale offers free and paid plans. Paid plans are billed monthly per user via our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge the applicable fees to your payment method on a recurring monthly basis.

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated for the remainder of the billing cycle. Downgrades take effect at the end of the current billing cycle.

If a payment fails, we will notify you and provide a 7-day grace period to update your payment method. If payment is not received within the grace period, your account may be downgraded to the free plan. Your data will not be deleted.

We may change our pricing with at least 30 days' notice by email. Price changes will take effect at the start of your next billing cycle after the notice period.

Refunds are generally not provided for partial months of service. However, if you are a consumer within the European Economic Area (EEA) or Norway, you may exercise your right of withdrawal within 14 days of your initial subscription, provided you have not used the Service during that period.

7. Free Plan

The free plan is provided as-is with limited features and usage caps. We reserve the right to modify the free plan limits at any time with at least 14 days' notice. The free plan does not include a service level agreement (SLA) or priority support.

8. Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for scheduled maintenance (with reasonable advance notice), updates, or circumstances beyond our control. Priority support is available on the Business plan.

9. Termination

By you: You may delete your account at any time from your account settings. If you are on a paid plan, your subscription will be cancelled and no further charges will be made.

By us, for cause: We may suspend or terminate your account immediately if you materially violate these Terms. We will make reasonable efforts to notify you before or promptly after suspension.

By us, for convenience:We may discontinue the Service with at least 60 days' notice. In this case, any prepaid fees for the unused portion of your subscription will be refunded.

Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Meyer Utvikling Frilans Tjenester and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising from your use of or inability to use the Service.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) 100 NOK.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Meyer Utvikling Frilans Tjenester and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you create or store through the Service.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. If you do not agree to the revised Terms, you may stop using the Service and delete your account before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Norway, without regard to its conflict of laws provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Norway.

If you are a consumer within the EEA or Norway, nothing in these Terms affects your statutory rights under applicable consumer protection legislation, and you may bring proceedings in the courts of your country of residence.

15. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Meyer Utvikling Frilans Tjenester regarding the Service and supersede all prior agreements and understandings.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
